คณะกรรมการบริษัทใดไม่ปฏิบัติตามมาตรา ๘๙/๑๕วรรคหนึ่ง หรือวรรคสอง ต้องระวางโทษปรับไม่เกินหนึ่งแสนบาทและปรับอีกไม่เกินวันละสามพันบาท ตลอดเวลาที่ยังมิได้ปฏิบัติให้ถูกต้อง ประธานกรรมการบริษัทผู้ใดไม่ปฏิบัติตามมาตรา๘๙/๑๕ วรรคสาม ต้องระวางโทษปรับไม่เกินหนึ่งแสนบาทและปรับอีกไม่เกินวันละสามพันบาท ตลอดเวลาที่ยังมิได้ปฏิบัติให้ถูกต้อง
