ถ้ามีข้อบังคับของบริษัทวางเป็นกำหนดไว้ว่า ต่อเมื่อผู้ถือหุ้นเป็นผู้มีหุ้นแต่จำนวนเท่าใดขึ้นไปจึงให้ออกเสียงเป็นคะแนนได้ไซร้ ท่านว่าผู้ถือหุ้นทั้งหลายซึ่งไม่มีหุ้นถึงจำนวนเท่านั้นย่อมมีสิทธิที่จะเข้ารวมกันให้ได้จำนวนหุ้นดังกล่าว แล้วตั้งคนหนึ่งในพวกของตนให้เป็นผู้รับฉันทะออกเสียงแทนในการประชุมใหญ่ใด ๆ ได้
